1.  Who we are

The site is owned and operated by Clays Luxury Media Private Limited, a company incorporated under the Companies Act 2013 with Corporate Identity Number U18112DL2026PTC468312 and registered office at A-57, DDA Sheds, Phase-II, Okhla Industrial Estate, New Delhi 110020, India. References to “we”, “us” and “our” are to that company.

 

2.  What this site is for

The site describes who we are and the work we do. It is intended for prospective clients, partners, contributors and candidates. Nothing on it constitutes an offer capable of acceptance, a proposal, a quotation, or a commitment to provide services on any particular terms. Any engagement between us and a client is governed exclusively by a separately signed agreement, and where the site and that agreement differ, the signed agreement prevails.

 

3.  Our content

All content on the site, including text, photography, illustration, layout, design, page architecture and the CLAYS LUXURY MEDIA name, logotype and marks, is owned by us or used by us under licence, and is protected by copyright, trademark and other intellectual property law in India and elsewhere.

 

You may view the site, and print or download extracts for your own reference or to discuss our work internally within your organisation. You may not otherwise copy, republish, redistribute, adapt, frame, scrape, mine or exploit any part of the site, or use it to train or fine-tune any machine learning or generative system, without our prior written consent.

 

4.  Client work and third-party marks

The site displays the names, marks and published work of brands and titles with which members of our team have worked, whether at Clays Luxury Media or in previous roles. Those names and marks remain the property of their respective owners. Their appearance is illustrative of relevant professional experience and does not imply any current relationship, endorsement, sponsorship or affiliation between those owners and us unless we say so expressly.

 

Magazine covers and other published material are reproduced at reduced size for the purpose of identifying and describing work in which members of our team were involved. If you own rights in any material shown and would like it removed, write to us at the address in clause 12 and we will act promptly.

 

5.  Material you send us

If you send us an enquiry, a proposal, a portfolio, an application or any other material through the site or in response to it, you confirm that you are entitled to send it and that it does not infringe anyone else’s rights. We treat commercially sensitive material sent in the course of a live discussion as confidential, but unsolicited creative ideas, concepts and formats are not treated as confidential and we accept no obligation in relation to them. If you want a concept protected, put it under an agreement with us before you send it.

6.  Accuracy

We take care over what we publish, but the site is provided for general information. Statistics, credentials, market descriptions and third-party information may change or become out of date. We do not warrant that the site is accurate, complete or current, and you should not rely on it as the basis for any decision without confirming the position with us directly.

 

7.  Availability

The site is hosted on a third-party platform. We do not guarantee that it will be available without interruption, that it will be free of errors or malicious code, or that any defect will be corrected. We may change, suspend or withdraw all or any part of it at any time without notice.

 

8.  Links to other sites

Where we link to a third-party site, we do so for convenience. We do not control those sites, we do not endorse their content, and we accept no responsibility for them or for any loss arising from your use of them. Their terms and privacy practices are their own.

You may link to our home page provided you do so fairly, lawfully, and in a way that does not damage our reputation or suggest an association or endorsement that does not exist. We may withdraw permission to link at any time.

 

9.  Limitation of liability

Nothing in these terms limits or excludes any liability that cannot lawfully be limited or excluded, including liability for fraud or fraudulent misrepresentation, or for death or personal injury caused by negligence.

 

Subject to that, and to the fullest extent permitted by law, we exclude all conditions, warranties and representations implied by statute, common law or otherwise in relation to the site, and we are not liable to you for any loss of profit, loss of business, loss of revenue, loss of anticipated savings, loss of data, or any indirect or consequential loss arising out of or in connection with your use of, or inability to use, the site.

 

Our total aggregate liability arising out of or in connection with the site, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to INR 10,000.

 

Judgement call for counsel: a nominal cap of this kind is normal for a brochure site that transacts nothing. If Sid would prefer a formulation tied to “the amount you have paid us for access to the site, which in the ordinary case is nil”, that works equally well. Do not leave the clause uncapped.

 

10.  Indemnity

You agree to indemnify us against any claim, loss, liability or cost we incur arising out of your use of the site in breach of these terms, or out of any material you send us that infringes the rights of a third party.

 

11.  Governing law and jurisdiction

These terms and any dispute arising out of or in connection with them or with the site, including any non-contractual dispute, are governed by the laws of India. The courts at New Delhi have exclusive jurisdiction.

 

12.  Changes and contact

We may amend these terms from time to time. The version in force is the one published on this page, and the effective date is shown at the top. Your continued use of the site after a change takes effect constitutes acceptance of the amended terms.
